财迅通4月22日消息，杭汽轮B（200771.SZ）下午发布公告，Hangzhou Turbine Power Group Co., Ltd. (Hangzhou Turbine) and Hangzhou Hirisun Technology Incorporated (Hirisun) are planning to merge through the issuance of A shares by Hirisun to all shareholders of Hangzhou Turbine. This transaction constitutes a major asset restructuring, a related party transaction, and is expected to result in a restructuring and listing. Upon completion, Hangzhou Turbine will terminate its listing, and Hirisun will inherit all assets, liabilities, etc. The A-shares issued by Hirisun will apply for listing on the GEM of the Shenzhen Stock Exchange.

The State-owned Assets Supervision and Administration Commission of Zhejiang Provincial People's Government has issued a relevant reply opinion, agreeing in principle to the overall transaction plan, indicating regulatory approval and support for the strategic move.
The main impact of this transaction, if completed, will be the termination of Hangzhou Turbine's listing status and the transfer of all its assets, liabilities, business, personnel, contracts, and other rights and obligations to Hirisun. Hirisun will undertake these and apply for the listing and circulation of the newly issued A-shares on the GEM of the Shenzhen Stock Exchange. This will lead to significant changes in the corporate structure, operations, and possibly market capitalization of both companies involved.。
